1. Scope and acceptance
These Terms of Service govern access to and use of the APITier websites, dashboard, APIs, MCP tools, documentation, and related services.
By accessing or using the services, you agree to these terms on your own behalf or on behalf of the company or organization you represent. If you do not agree, you must not use the services.
2. Eligibility and business use
You must be legally capable of entering into a binding contract and must use the services in compliance with applicable laws, regulations, and third-party licensing restrictions.
Unless APITier agrees otherwise in writing, the services are provided for business, professional, and developer use rather than consumer household use.
3. Accounts, credentials, and security
You are responsible for all activity carried out through your accounts, API keys, MCP credentials, and access tokens. Credentials must be kept confidential and must not be shared except as needed within your organization under appropriate access controls.
You must notify APITier without undue delay if you believe credentials have been compromised or the services are being used in an unauthorized manner. APITier may suspend keys, rotate credentials, or impose temporary restrictions to contain abuse or protect service integrity.
4. Service usage and acceptable use
You may use the services only in accordance with the documentation, applicable rate limits, plan restrictions, and technical requirements published by APITier.
You must not misuse the services, attempt to bypass quotas or authentication controls, probe or scan for vulnerabilities, interfere with service availability, resell the services except as expressly permitted, or use the services in a manner that violates law, infringes rights, or exposes APITier or its suppliers to regulatory or security risk.
Where the services rely on third-party datasets, registries, or source systems, additional product-specific restrictions may apply to access, caching, retention, redistribution, or downstream use of outputs.
5. Customer data and API submissions
You are responsible for ensuring that you have an appropriate legal basis and all necessary notices, consents, permissions, and rights to submit prompts, payloads, records, files, personal data, or other content to the services.
As between the parties, you retain responsibility for customer-submitted content. APITier may process that content to provide, secure, support, and improve the services, to prevent abuse, and to comply with law. Where APITier processes personal data on your behalf, the APITier Data Processing Addendum applies.
6. Fees, billing, renewal, and cancellation
Paid services are billed under the pricing, quotas, and commercial terms presented at checkout, in your dashboard, or in an applicable order form. Fees are exclusive of taxes unless expressly stated otherwise.
Subscriptions renew automatically for the same billing period unless cancelled before renewal. You may cancel recurring paid plans through the APITier account controls, customer billing portal, or another method made available by APITier. Cancellation prevents future renewal charges but does not retroactively refund prior charges except where required by law or expressly stated in a refund policy.
APITier may suspend paid functionality, throttle usage, or revoke access if invoices or subscription charges remain unpaid after notice and a reasonable opportunity to cure.
7. Changes to the services
APITier may modify, improve, replace, or discontinue features, endpoints, or documentation from time to time. APITier will use reasonable efforts to avoid materially disruptive changes without notice where practical, but the services evolve continuously.
You are responsible for maintaining compatibility with the current documented interfaces and for monitoring deprecation or change notices published by APITier.
8. Intellectual property and feedback
APITier and its licensors retain all rights, title, and interest in the services, software, documentation, branding, and related intellectual property. These terms grant a limited, non-exclusive, non-transferable right to use the services during the applicable subscription term.
If you submit feedback, suggestions, or product ideas, APITier may use them without restriction or obligation to you.
9. Confidentiality
Each party must protect the other party’s non-public confidential information using reasonable care and must use it only for the purpose of performing or receiving the services. Confidential information does not include information that is public through no fault of the receiving party, already lawfully known, independently developed, or lawfully obtained from a third party.
A party may disclose confidential information where required by law, regulation, or court order, provided it gives notice where legally permitted.
10. Suspension and termination
You may stop using the services at any time. APITier may suspend or terminate access immediately where necessary to address security threats, fraud, unlawful conduct, repeated abuse, breach of these terms, or non-payment.
On termination, your right to use the services ends immediately. Provisions that by their nature should survive termination, including payment obligations, intellectual property, confidentiality, disclaimers, liability limitations, and dispute terms, will survive.
11. Warranties and disclaimers
APITier will use reasonable care and skill in providing the services, but the services are provided on an "as is" and "as available" basis except to the extent otherwise required by law or expressly agreed in writing.
APITier does not warrant that the services will be uninterrupted, error-free, or suitable for every use case, or that third-party datasets, registries, or source systems will remain continuously available. You are responsible for reviewing outputs before using them in production decisions or downstream workflows.
12. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.
Subject to the previous sentence, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or anticipated savings arising out of or related to the services.
Subject to applicable law and the previous sentences, APITier’s aggregate liability arising out of or relating to the services during the 12 months preceding the event giving rise to the claim will not exceed the amount you paid to APITier for the affected services during that same 12-month period.
13. Indemnity
You will defend, indemnify, and hold harmless APITier against third-party claims arising from your unlawful use of the services, your submitted content, your violation of these terms, or your violation of applicable law or third-party rights.
APITier will control the defense and settlement of indemnified claims, subject to your right to participate at your own expense.
14. Export controls and sanctions
You must not use, export, re-export, or permit access to the services in violation of applicable export control or sanctions laws.
You represent that you are not subject to trade restrictions or prohibited from receiving the services under applicable law.
15. Governing law and disputes
These terms are governed by the laws of England and Wales, excluding conflict-of-law principles. The courts of England and Wales will have exclusive jurisdiction over disputes arising from these terms, except where mandatory law gives a different forum right that cannot be waived.
Before starting formal proceedings, the parties will attempt in good faith to resolve disputes by written notice and escalation through their respective business contacts.
16. Changes to these terms
APITier may update these terms from time to time to reflect service changes, legal requirements, or commercial updates. The "Last updated" date will show when changes were published.
If a change materially adversely affects you, your continued use after the updated terms take effect will constitute acceptance of the revised terms.
